Our Team Home » About Us » Our Team Charles Glick Chairman Charles Glick is a former Executive Vice President and General Counsel of Unum Group, a Fortune 250 insurance company, with 86 lawyers in-house and annual revenues of $10 billion (NYSE: UNM). He has practiced at large law firms, including Skadden Arps Slate Meagher & Flom (where he was a litigator focused on unsolicited tender offers and proxy fights, and financial litigation) and Winston & Strawn (where he focused on corporate work). He has entrepreneurial experience as one of the founding partners of Hedlund, Hanley & John, a litigation boutique, and as the Founder and Chairman of iVantage Bancorp, Inc., an internet banking company. Charles received a J.D. degree from Yale University, where he served as Senior Editor of the Yale Law Journal, and a B.A. degree from Indiana University, where he was elected to Phi Beta Kappa. He has served on over a dozen boards of directors. Gerald Zoldan President and CEO Gerald Zoldan has a fifty-year history as a serial entrepreneur, successfully developing innovative software solutions. From 1972 to 1976, he was Founder and Vice-President of Management Systems Technology, Inc., which pioneered the use of computerized prescription systems with features such as allergy and drug interaction screening for independent retail drug stores. From 1978 to 1984, he was Founder, President and CEO of Annson Corporation, which was the market leader for physician practice management systems. IBM licensed Annson’s system as an IBM product and distributed it through IBM’s sales channels. Annson was sold to American Hospital Supply Corporation. From 1987 to 2017, Jerry was Founder, Chairman and CEO of Morrisey Associates, Inc., the market leader in physician credentialing, privileging and patient case and quality management for hospitals and healthcare systems. In 2016 the credentialing business was sold to HealthStream, Inc., and the case management business was sold to Harris HealthCare of Canada in 2017. Michael Abramowitz VP and Chief Technology Officer Michael Abramowitz, our VP and Chief Technology Officer, is the former Managing Director of IT Strategic Planning at the National Futures Association. In this role he introduced a technology portfolio prioritization process, agile SDLC methodologies, a microservices architecture to facilitate a Data as a Service culture and hybrid cloud adoption, and DevOps strategies to improve organizational agility and software quality. Prior to this, Michael co-founded and operated a technology consultancy focused on bespoke software development for startups and small and medium sized enterprises. The company focused on implementing cloud native solutions working with clients to design and implement scalable and secure web and mobile solutions. Michael holds Bachelor's degrees in Finance and Economics from Tulane University, a Masters degree in Accounting from University of Illinois, and a Masters degree in Computer Science from the University of Chicago. Michael is also a Certified Public Accountant and a Certified Fraud Examiner. Christy Baranowski VP and Controller Christy Baranowski, our VP and Controller, has over 20 years of experience as a senior accounting professional in the software industry. She is responsible for planning, implementing and overseeing our financial policies and procedures as well as managing accounting, auditing and tax activities. She also oversees human resources, including employee benefits and payroll. Prior to joining Corporate Governance Partners, Christy was the Chief Accounting Officer for Morrisey Associates and later MorCare. In that capacity, she developed the company’s accounting policies and procedures, managed all aspects of accounting including financial strategic planning and forecasting, financial statement preparation, asset management, audit and tax services, and payroll. She also managed and coached administrative, accounting, human resources, and information security personnel. Christy holds a Bachelor’s degree in Accounting and is a Certified Public Accountant. John Brooke Vice President of Sales John is a dynamic, creative sales leader, responsible for all sales by the Company to clients. Prior to joining Corporate Governance Partners in December 2018, John led both new and existing customer business sales teams responsible for sales of the market-leading SaaS governance, risk, compliance and ethics software, primarily to General Counsel and Chief Compliance Officers. John was Vice President of Sales for Healthcare and Life Sciences for SAI Global, a compliance software provider (2013 to 2018), and Vice President of healthcare sales for Compliance 360 (2008-2013), during which time it was sold to SAI Global. In 2015, John and his team grew bookings by over 40%, and in 2017, by over 25%. John also formerly sold software for PeopleSoft, Inc. and SAP America, Inc. John is a Certified Public Accountant (inactive), and holds a B.S. in Finance from Florida State University. Amy Kleist Vice President of Client Success Amy has over 20 years’ experience in Client Success, implementation, training, customer service and project management. She focuses on delivering best practices and successful business outcomes by offering creative solutions to fully leverage product offerings. She encourages growth, positive change and opportunity within each client company. From 1997 to 2016, she held similar positions at Morrisey Associates, Inc., and from 2016 to December 2018, at Verity, a Healthstream company. She joined Corporate Governance partners in December 2018. Carol Ward Senior Advisor Carol J. Ward joined Corporate Governance Partners as a Senior Advisor in January 2019. Before that, in 2006, Carol joined Kraft Foods Inc. as VP & Corporate Secretary. In October 1, 2012, Kraft Foods Inc. changed its name to Mondelez International, Inc. following the spin-off of its North American grocery business as Kraft Foods Group, Inc. From 2006-2018, Carol advised the Board of Directors, senior management, and employees on corporate governance, corporate securities, SEC reporting and compliance, executive compensation and US employee benefits. She joined CIGNA Corporation in 1983 and was named Asst. Corporate Secretary in 1986, Corporate Secretary in 1992 and to the additional post of Chief Compliance Officer in 1998. Carol is a member and former Chairman of the Society for Corporate Governance; member of the Association of Corporate Counsel and the American Bar Association; and a founding member of the Advisory Board of the John L. Weinberg Center for Corporate Governance at the Lerner College of Business & Economics, University of Delaware. She was a long-time member and past President of the Stockholder Relations Society of New York. Carol received her B.A. degree from Yale University and a J.D. degree from Emory University School of Law.
